Celltek Communications in liquidation

Date published: 04 April 2008

Rochdale based Celltek Communications has gone into liquidation with well over half a million pounds of debt.

The failure is a spectacular fall from grace for a company short listed only last year as a finalist in the Orange sponsored 2007 National Business Awards Regional Programme and whose CEO Zulf Ali was a finalist in the inaugural "Asian Business Federation Tiger Awards’ and finalist in the "Credit Suisse Entrepreneur of the Year’ category of the Orange sponsored National Business Awards 2007.

Mr Ali is also a director of Heywood based Reach BCS and on the board of directors of Rochdale Development Agency; his co-founder, Mike Duffy, is the Secretary of the Cheshire Branch of the Institute of Directors, the Secretary of Rochdale based charity, KYP and a Business Advisor for the Young Enterprise (North West).

Last year, two non executive Directors were invited to join the main board and Celltek issued statements to the media extolling their virtues saying; "This has led to vast improvements in the effectiveness of the board and to the overall operation of the business".

Celltek designed and delivered technology solutions, specialising in public sector programmes such as Building Schools for the Future.

At a General Meeting duly convened and held at Menzies Corporate Restructuring, 11 St James Square, Manchester, M2 6WH, the following resolutions were duly passed as a special and an ordinary resolution, respectively:

  • "That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the company be wound up voluntarily."

  • "That David John Whitehouse and Philip Francis Duffy of Menzies Corporate Restructuring, 11 St James Square, Manchester, MZ 6WH, be and are hereby appointed joint liquidators of the company for the purposes of the winding-up."

At the subsequent meeting of creditors held at the same place on the same date, the resolutions were ratified confirming the appointment of David John Whitehouse and Philip Francis Duffy as joint liquidators.
